EK Rentals Referral Program — Terms

These Terms govern participation in the EK Rentals / TeslaRented Referral Program (the “Program”). “EK Rentals,” “we,” and “us” refer to EK Rentals dba TeslaRented. “You” means the person enrolling as a referrer. By enrolling, sharing a referral link, or accepting any payment under the Program, you agree to these Terms.

1. Eligibility

The Program is open to anyone 18 or older with a valid email and phone number. You do not need to be an active EK Rentals renter. Employees of EK Rentals and members of their immediate household are not eligible.

2. How attribution works

On enrollment, we issue you a unique referral code (e.g. EDV3K2) and a shareable link (e.g. app.teslarented.com/?ref=EDV3K2). A prospective renter is attributed to you when:

• They submit a lead through your code or link, and
• That lead is entered as the “Referred By” reference on a new rental contract by EK Rentals.

We attribute each new renter to one referrer only, on a first-touch basis. We reserve the right to decline attribution for leads we already had a prior commercial relationship with, or where the prospective renter independently approached us before the referral was made.

3. Rewards and when a referral “counts”

A referral is considered to have started an active rental only when all of the following have occurred and been confirmed by EK Rentals:

• The referred person has executed a rental agreement with EK Rentals;
• The referred person's initial payment has been received in full and cleared (and any required deposit or onboarding fees have been paid); and
• The vehicle has been physically delivered to and accepted by the referred person.

Until all three conditions are met and verified, no reward is earned, accrued, vested, or payable, regardless of anything shown in your dashboard, sheet, ledger, or any other interface.

EK Rentals may take up to thirty (30) days after the initial payment is received to verify these conditions and approve or deny any reward. This window allows us to confirm payment clearance, identity, vehicle delivery, and rental status before any payout issues.

For each attributed referral that meets the conditions above:

• $150 one-time bonus. Paid after EK Rentals has verified and approved the referral under the criteria in this Section 3.
• $50 biweekly credit. Paid for every biweekly period during which the referred renter remains in an active, good-standing rental with EK Rentals.

4. How and when you get paid

If you are an active EK Rentals renter, approved rewards are typically applied as credit against your biweekly payment. The $150 bonus is generally credited on the next biweekly invoice after the referral is verified and approved; the $50 biweekly amount is generally deducted from every applicable biweekly invoice while the referred renter is active and in good standing. If the total credit exceeds the invoice amount in a given period, the excess may, at EK Rentals' option, be paid via QuickBooks Online direct deposit (ACH) or such other method as EK Rentals determines appropriate in its sole discretion, or carried forward as credit against future invoices.

If you are not a current renter, approved rewards are generally paid via QuickBooks Online direct deposit (ACH) or such other method as EK Rentals determines appropriate in its sole discretion. To receive payment you will need to provide accurate banking details and any documentation EK Rentals reasonably requests (including a completed Form W-9 once cumulative annual payments cross IRS reporting thresholds). EK Rentals does not offer payment via cash, Zelle, Venmo, PayPal, or other peer-to-peer apps.

All timing in this section is a target, not a guarantee. Every payment is subject to review and approval by EK Rentals, which may take longer in cases requiring verification or investigation. No reward is earned, accrued, or owed until EK Rentals has reviewed, approved, and actually disbursed it. We may correct, delay, reduce, withhold, or reverse a payment at any time if it was created in error, duplicated, based on a referral later determined to be ineligible, or otherwise inconsistent with these Terms.

Payments are final. Once an approved Program reward has been disbursed (whether as biweekly credit or cash), it is non-refundable and not subject to dispute by you, except in the limited cases described in Section 7D. EK Rentals reserves the right to reverse a disbursed payment only where it determines, in its sole discretion, that the underlying referral was ineligible, fraudulent, duplicate, or paid in error.

5. When the $50 biweekly stops

The $50 biweekly credit applies only while the referred renter is actively renting from EK Rentals. It stops automatically — with no notice required — the period after the referred renter's status changes to anything other than active (including but not limited to: contract end, voluntary exit, default, or repossession). The credit is forward-only; we do not retroactively claw back credits already paid in good standing.

6. Stacking and caps

Rewards stack across multiple active referrals with no cap on the number of people you can refer. If your aggregate biweekly credit exceeds your biweekly invoice (when you are also a renter), the excess is paid out in cash as described in Section 4.

7. What disqualifies a referral

The following are not eligible for rewards:

• Self-referrals or referrals between members of the same household.
• Leads we already had in our pipeline before the referral was made.
• Referrals procured through spam, paid ad campaigns that misrepresent EK Rentals, or any deceptive, misleading, or unlawful means.
• Referrals associated with fraud, identity misrepresentation, stolen credentials, falsified personal information, or any attempt to manipulate, circumvent, or game the Program.
• Renters whose rental is canceled within 30 days of commencement due to fraud, misrepresentation, default, or failure to take possession of the vehicle. In those cases the $150 bonus is voided; any $50 biweekly credits already paid may, in our sole discretion, be clawed back from future Program rewards or offset against amounts owed.

7A. EK Rentals' sole discretion; right to investigate

EK Rentals, Inc. retains sole and absolute discretion over the Program, including but not limited to the right to:

• Approve, reject, delay, modify, reduce, withhold, or reverse any reward — in whole or in part — at any time and for any reason or no reason, including if we suspect (in our reasonable judgment) fraud, abuse, misconduct, misrepresentation, or violation of these Terms;
• Investigate any referral, lead, or referrer at any time. You agree to cooperate with any reasonable request for information or documentation (including government-issued ID, proof of residence, payment method verification, or correspondence with the referred renter). Failure to cooperate voids all pending and future rewards;
• Suspend or terminate your participation immediately without notice, and forfeit any unpaid rewards, if we determine in our sole discretion that you have engaged in or attempted any activity that violates these Terms, applicable law, or the spirit of the Program;
• Refuse to extend the Program to any person, group, geography, or referral channel without explanation; and
• Recoup overpayments, mistaken payments, or rewards later determined to be ineligible by offsetting them against future Program rewards or, where applicable, against amounts you owe EK Rentals under a rental agreement.

Our determinations under this Section 7A are final and binding. No reward is earned, vested, or payable until EK Rentals has reviewed, approved, and actually paid it. Until that point, all displayed or anticipated rewards are provisional only and are not a contractual entitlement.

7B. Anti-abuse and account integrity

You agree not to, and not to assist or permit any third party to: create multiple accounts to circumvent eligibility rules; use bots, scripts, or automated tools to generate or distribute referral links; submit false, stolen, or unauthorized contact information; collude with referees to share rewards or split payouts; or otherwise manipulate the Program. Any such activity is grounds for immediate termination, forfeiture of all rewards (paid and unpaid), and, at our discretion, civil or criminal referral.

7C. Indemnification

You agree to indemnify, defend, and hold harmless EK Rentals, Inc., its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program; (b) your breach of these Terms; (c) any misrepresentation you make to a prospective renter about EK Rentals, its rates, vehicles, or policies; or (d) any communication you send under your referral link, including violations of CAN-SPAM, TCPA, or any other applicable law.

7D. Referee-side disputes, refunds, and reversals

Your eligibility to earn and retain Program rewards is contingent on the referred renter's payments to EK Rentals clearing and remaining cleared. If, at any time:

• the referred renter disputes, charges back, recalls, or reverses any payment made to EK Rentals (initial, biweekly, or otherwise), through any bank, card network, Zelle, Venmo, PayPal, Cash App, court, arbitration, or other channel;
• EK Rentals issues the referred renter a refundof any payment, in whole or in part, for any reason (including goodwill refunds, early termination, dissatisfaction, vehicle issues, or otherwise);
• the referred renter's payment is reversed by a payment processor for non-sufficient funds, fraud, account closure, or any other reason; or
• the referred renter exits the rental, defaults, or has the vehicle repossessed,

then, as of the date of the dispute, refund, reversal, or exit:

• The $50 biweekly credit stops immediatelyfor that referral and does not resume even if the dispute is later resolved in EK Rentals' favor.
• If the $150 one-time bonus is unpaid, it is voided.
• If the $150 one-time bonus has already been paid, EK Rentals may, in its sole discretion, claw it back by offsetting it against your future Program rewards, against amounts you owe under any rental agreement with EK Rentals, or by invoicing you directly. You agree to repay any clawed- back amounts within fifteen (15) days of invoice.
• EK Rentals may also, in its sole discretion, claw back any $50 biweekly credits previously paid for that referral by the same means, if the dispute or refund relates to fraud, misrepresentation, or an issue that existed at the time the credits were earned.

EK Rentals' determination of whether a referee-side event triggers this Section 7D, and the amount and method of any clawback, is final and binding.

7E. Your conduct around your own payouts

Separate from Section 7D, you irrevocably agree that:

• You will not initiate a chargeback, dispute, recall, or reversal against EK Rentals or its payment providers (banks, Zelle, Venmo, PayPal, Cash App, or any other channel) with respect to a Program payment you have received.
• You will not seek a refund of, or additional payment beyond, what EK Rentals has actually approved and disbursed to you. Anticipated, displayed, or estimated rewards (in dashboards, calculators, emails, or anywhere else) are not a contractual entitlement and create no obligation to pay.
• Any dispute you have with EK Rentals about the Program is resolved exclusively under Section 14 (Governing Law and Disputes). You waive any right to resolve Program disputes through third-party dispute systems, chargeback channels, or class actions.

Initiating a wrongful chargeback or unauthorized reversal of a Program paymentimmediately voids your participation, forfeits all unpaid rewards, and entitles EK Rentals to recover the reversed amount plus reasonable collection costs and attorneys' fees, including by offsetting against any sums otherwise owed to you (under any rental agreement or otherwise).

8. Taxes

You are responsible for any taxes owed on rewards you receive. If cumulative cash payments to you in a calendar year exceed reporting thresholds, we will request a Form W-9 and may issue a Form 1099. Failure to provide a completed W-9 on request may delay or forfeit payment.

9. Your representations

By participating in the Program, you represent that:

• You are 18 or older and have authority to enter into these Terms.
• You will not misrepresent EK Rentals, our rates, our vehicles, or our policies when promoting your referral link.
• You will only share your link with people who have a reasonable interest in renting a Tesla.
• You will comply with the CAN-SPAM Act, TCPA, and any other laws applicable to your promotion of the Program (no unsolicited spam emails or texts).

10. Privacy

We store the name, email, and phone you provide at enrollment, plus metadata about leads attributed to your code (lead name, contact info, status). We do not sell your personal information. We may display anonymized aggregate Program metrics (e.g. total referrals issued). See our general Privacy Policy for handling of other data.

11. Changes and termination

We may modify these Terms or change reward amounts at any time on 30 days' notice posted to this page or sent to the email on file. Changes apply prospectively only — referrals already attributed before the change are honored under the prior terms.

We may suspend or terminate your participation immediately if we reasonably believe you have violated these Terms or engaged in fraud. Earned but unpaid rewards in good standing at the time of termination remain payable.

12. No employment, partnership, or agency

The Program does not create an employment, partnership, joint venture, franchise, or agency relationship between you and EK Rentals. You are an independent referrer with no authority to bind EK Rentals to any commitment.

13. Disclaimers and limitation of liability

The Program is provided “as is.” To the maximum extent permitted by law, EK Rentals disclaims all warranties, express or implied. EK Rentals' total cumulative liability under the Program will not exceed the total rewards actually paid to you in the 12 months preceding the claim.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.
